Effective Date: September 14, 2026
1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern access to and use of the website, services, deliverables, communications, and any related offerings provided by Northern Reel Studios Ltd. (the “Company”, “we”, “us”, or “our”). By engaging the Company for services, requesting a quote, signing a proposal or statement of work, accessing our website, or otherwise using our services, you (the “Client”, “you”, or “your”) agree to be bound by these Terms.
If you do not agree to these Terms, you must not use our services. If there is any conflict between these Terms and a separately signed written agreement, proposal, estimate, or statement of work, the signed written agreement or statement of work will prevail to the extent of the conflict.
2. Scope of Services
Northern Reel Studios Ltd. provides filmmaking and video production services, which may include, without limitation:
- Commercial video production;
- Corporate brand films;
- Documentary filmmaking;
- Music video production;
- Creative concept development;
- On-location filming;
- Post-production editing and color grading; and
- Related production, planning, consultation, and delivery services.
Specific deliverables, schedules, creative parameters, revision limits, technical specifications, and costs will be set out in the applicable proposal, estimate, quotation, or statement of work. The Company reserves the right to decline projects that are unlawful, unsafe, defamatory, misleading, discriminatory, or otherwise inconsistent with professional standards.
3. User Obligations and Responsibilities
You agree to provide accurate, complete, and timely information necessary for the Company to perform the services. You are responsible for:
- Obtaining all permissions, permits, consents, and releases required for filming, photography, music, talent, locations, trademarks, or third-party materials supplied by you, unless the written agreement specifically assigns that responsibility to the Company;
- Ensuring that any materials you provide do not infringe the rights of any third party and are not unlawful, offensive, or harmful;
- Cooperating with the Company in a timely manner, including approvals, feedback, access to locations, and provision of assets;
- Providing safe working conditions at locations under your control and disclosing any known hazards, restrictions, or special requirements;
- Complying with all applicable laws, regulations, bylaws, and permit requirements; and
- Reviewing deliverables promptly and notifying the Company of any requested revisions within the time period specified in the applicable agreement.
You must not misuse the Company’s services, interfere with operations, or provide unlawful instructions. Delays caused by your failure to meet your obligations may result in additional fees and schedule changes.
4. Payment Terms and Conditions
Unless otherwise agreed in writing:
- All fees are quoted in Canadian dollars (CAD);
- A deposit or advance payment may be required before work begins;
- Invoices are due on the date stated on the invoice, quotation, or statement of work;
- Late payments may accrue interest at the maximum lawful rate permitted under applicable law, or if no rate is stated, at 1.5% per month (18% per annum) where permitted;
- You are responsible for all applicable taxes, including GST/HST/PST, as required by law;
- Any third-party costs, including travel, equipment rental, locations, stock footage, music licensing, talent, shipping, customs, and permits, are additional unless expressly included in the agreed fee; and
- The Company may suspend work, withhold delivery, or terminate services for non-payment.
Estimates are based on the information available at the time of quoting. If project scope changes, including additional revisions, overtime, reshoots, expedited timelines, or added deliverables, the Company may issue a revised estimate or additional invoice. Approved work beyond the agreed scope will be billed separately.
5. Cancellation and Refund Policy
Because filmmaking and production services involve advance planning, reserved time, crew booking, and non-refundable third-party commitments, cancellation terms apply as follows unless otherwise stated in writing:
- If you cancel before work has commenced, any non-refundable costs already incurred by the Company or committed to third parties remain payable;
- Deposits are generally non-refundable to the extent they cover scheduling, pre-production, creative development, administrative work, and reserved production capacity;
- If you cancel after production has begun, you are responsible for all work completed to date, committed expenses, and any cancellation fees set out in the applicable agreement;
- If the Company must reschedule due to weather, safety, legal restrictions, illness, force majeure, or other circumstances beyond its reasonable control, the parties will use commercially reasonable efforts to reschedule; and
- Refunds, if any, are issued only where expressly required by law or expressly agreed in writing by the Company.
Any deliverables already completed, edited, exported, or delivered are not refundable. For projects involving custom creative development, refund eligibility is limited because such services are unique and labor-intensive.
6. Liability Limitations
To the fullest extent permitted by applicable law, the Company, its directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, or data, arising out of or in connection with the services or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, the Company’s total aggregate liability arising from or relating to the services or these Terms shall not exceed the amount paid by you to the Company for the specific services giving rise to the claim during the three (3) months preceding the event giving rise to liability, or CAD $1,000, whichever is greater, unless a different limit is required by law or expressly agreed in writing.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for fraud, wilful misconduct, or any non-excludable statutory liability.
7. Intellectual Property Rights
Unless otherwise agreed in writing:
- All pre-existing intellectual property, tools, workflows, templates, techniques, software, know-how, and creative methods used by the Company remain the exclusive property of the Company or its licensors;
- Upon full payment of all amounts due, the Client receives the license or ownership rights expressly described in the applicable agreement or statement of work;
- If no transfer is specified, the Company grants the Client a non-exclusive, non-transferable license to use the delivered materials solely for the purposes for which they were commissioned;
- The Company may retain the right to use project materials, stills, clips, behind-the-scenes content, and final deliverables for portfolio, promotional, award submissions, website, social media, and self-marketing purposes, unless the Client objects in writing before production begins or unless restricted by a separate written agreement;
- The Client is responsible for obtaining rights to third-party content it supplies, including music, logos, archival footage, images, footage, scripts, and likenesses, unless the Company expressly agrees otherwise in writing; and
- No rights are granted to either party except as expressly set out in these Terms or in a signed written agreement.
Any source files, project files, raw footage, and editable assets remain the property of the Company unless the parties agree otherwise in writing. If source files are requested, additional fees may apply.
8. Data Protection and Privacy
The Company collects, uses, stores, and discloses personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation where relevant.
We may collect personal information such as names, contact details, billing information, correspondence, and production-related information for the purposes of:
- Providing and managing services;
- Communicating with the Client and authorized representatives;
- Preparing invoices, records, and contractual documentation;
- Meeting legal, accounting, tax, and regulatory obligations; and
- Marketing and portfolio use where permitted by law and/or consent.
The Company will take reasonable safeguards to protect personal information against unauthorized access, disclosure, or misuse. However, no method of transmission or storage is completely secure, and the Company cannot guarantee absolute security.
By engaging our services, you consent to the collection, use, and disclosure of personal information as reasonably necessary for service delivery and as otherwise described in our privacy practices or applicable agreements. If you provide personal information of third parties, you represent that you have obtained all necessary consents or have a lawful basis to provide that information to the Company.
9. Force Majeure
The Company shall not be liable for any delay or failure to perform caused by events beyond its reasonable control, including but not limited to acts of God, fire, flood, extreme weather, earthquake, pandemic, epidemic, government action, war, terrorism, civil unrest, labor disputes, power outages, network failures, equipment shortages, transportation disruptions, or the unavailability of locations, talent, or permits.
Where a force majeure event occurs, the affected party will notify the other party as soon as reasonably practicable and the parties will use reasonable efforts to mitigate the impact and reschedule performance where feasible. If the event continues for an extended period, either party may terminate the affected services upon written notice, subject to payment for work performed and non-refundable costs incurred up to that date.
10. Changes to Terms
The Company may update or revise these Terms from time to time to reflect changes in law, business practices, or service offerings. The updated Terms will be effective upon posting on the Company’s website or upon written notice, unless a different effective date is specified.
Your continued use of the services after any revised Terms become effective constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the services and, where applicable, notify the Company in writing.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or matter arising out of or relating to them, the services, or any agreement between the parties shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
The parties irrevocably submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, Canada, for the resolution of any dispute arising from or related to these Terms, unless the parties agree in writing to arbitration or another dispute resolution process.

If any provision is found unenforceable but would be enforceable if modified, the provision shall be enforced to the maximum extent permitted by law as modified to reflect the parties’ original intent.
